Terms & Conditions

1. Definitions

In these Terms, the following definitions apply:

  • "Service" means the ChidoS Marketing SaaS platform at marketing.chidos.tech, including all features and APIs.
  • "Company", "we", "us" refers to ChidoS Marketing and its operators.
  • "Customer", "you" refers to any individual or entity that registers for or uses the Service.
  • "Subscription" means a paid plan (Starter, Growth, or Premium) granting access to the Service.
  • "Trial Period" means the 3-day free period granted to new subscribers via Stripe.
  • "Content" means any data, text, or material submitted through the Service.

2. Acceptance of Terms

By accessing or using the Service, creating an account, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that entity. You must be at least 18 years old to use the Service.

3. Description of Services

ChidoS Marketing provides a SaaS platform enabling businesses to:

  • Send bulk WhatsApp marketing campaigns via Twilio WhatsApp Business API.
  • Manage contacts, groups, and segmentation.
  • Automate conversations using AI-powered auto-replies.
  • Synchronize data with Zoho CRM and third-party tools via webhooks.
  • Track campaign delivery, open, and reply rates.
  • Create and manage approved WhatsApp message templates.

You are responsible for the content of messages sent through the Service and for compliance with applicable laws and Meta/WhatsApp policies. We reserve the right to modify or discontinue any feature with reasonable notice.

4. Account Registration

You must register with accurate and complete information and keep it updated. You are responsible for maintaining confidentiality of your credentials and for all activities under your account. Notify us immediately at infos15@chidos.tech of any unauthorized use. You may not share accounts or create multiple accounts to circumvent plan limitations.

5. Free Trial

New subscribers receive a 3-day free trial via Stripe upon subscribing to any paid plan. During the Trial Period:

  • You will not be charged for the first 3 days.
  • You have full access to all features of your selected plan.
  • You may cancel at any time during the trial at no cost — no charge will be made.
  • Cancellation during the trial takes effect immediately.

If you do not cancel before the trial ends, your payment method will be automatically charged the full subscription fee. The trial is available once per customer, per payment method, and per business entity.

6. Billing & Payments

All payments are processed by Stripe, Inc. We do not store card information. By subscribing, you authorize Stripe to charge your payment method on a recurring basis.

  • Monthly billing: charged on the same date each month after the trial ends.
  • Yearly billing: charged once per year, paid in full upfront at the discounted rate.
  • Starter: $49/month or $39/month (billed yearly).
  • Growth: $149/month or $112/month (billed yearly).
  • Premium: custom pricing — contact sales.

Prices may change with 30 days notice. You are responsible for applicable taxes. Failed payments may result in account suspension after reasonable notice.

7. Cancellations & Refunds

During the Trial Period: Cancel anytime at no cost. No charge will be made.

After the Trial Period: Cancellation takes effect at the end of the current billing period. Access continues until that date.

Refund Window — 3 Days

Refund requests must be submitted within 3 calendar days of the payment date. After this window, all payments are final and no refund will be issued under any circumstances.

To request a refund, email infos15@chidos.tech with your account email and payment reference within the 3-day window. Approved refunds are processed within 5–10 business days.

  • No refunds for yearly plans after 3 days of payment.
  • No partial refunds for unused periods.
  • No refunds if account suspended due to policy violations.
  • We reserve the right to decline refund requests we believe are fraudulent.

8. Acceptable Use

You must not use the Service to:

  • Send unsolicited messages (spam) or messages to contacts who have not consented.
  • Transmit illegal, harmful, threatening, abusive, or defamatory content.
  • Violate any applicable law including GDPR, CAN-SPAM, or CASL.
  • Impersonate any person or entity.
  • Distribute malware or harmful code.
  • Attempt unauthorized access to any part of the Service or infrastructure.
  • Reverse engineer or decompile the Service.
  • Resell or sublicense the Service without written authorization.

Violations may result in immediate account suspension or termination without refund.

9. WhatsApp & Twilio Compliance

The Service uses the Twilio WhatsApp Business API, governed by Meta and Twilio policies. You agree to:

  • Obtain valid opt-in consent from all contacts before messaging them.
  • Provide a clear and easy opt-out mechanism in all messages.
  • Honor opt-out requests immediately.
  • Use only Meta-approved message templates.
  • Comply with WhatsApp Business Policy on prohibited content.

ChidoS Marketing is not liable for delivery failures, template rejections, or restrictions imposed by Meta or Twilio.

10. Data Protection & GDPR

We comply with the General Data Protection Regulation (GDPR) for EU/EEA users and applicable US privacy laws including CCPA for California residents.

Data Controller: ChidoS Marketing for account data. Data Processor: ChidoS Marketing processes your contacts' data on your behalf — you remain the Data Controller for your contacts.

Your obligations as Data Controller:

  • Have a valid legal basis for processing contacts' personal data.
  • Inform your contacts that their data is processed through ChidoS Marketing.
  • Respond to data subject requests (access, rectification, erasure, portability).
  • Not upload sensitive personal data without a documented legal basis.

Our commitments as Data Processor:

  • Process contact data only on your documented instructions.
  • Implement appropriate technical and organizational security measures.
  • Not sell or share contact data with third parties for marketing.
  • Notify you of any personal data breach without undue delay.
  • Delete or return all personal data upon termination as instructed.

EU/EEA users may exercise their rights by contacting infos15@chidos.tech. International transfers are governed by Standard Contractual Clauses (SCCs) approved by the European Commission.

11. Privacy

We collect account information, usage data, and technical information to provide and improve the Service, process payments, and comply with legal obligations. We use industry-standard security including HTTPS, hashed passwords (bcrypt), and access controls. Data is retained while your account is active or as required by law. Upon deletion, personal data is removed within 30 days.

12. Intellectual Property

The Service, including its software, design, trademarks, and documentation, is the exclusive property of ChidoS Marketing. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription. You retain ownership of your Content. You may not copy, modify, or create derivative works of the Service without written consent.

13. Limitation of Liability

To the maximum extent permitted by law, ChidoS Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data. Our total liability shall not exceed the greater of: (a) fees paid in the 3 months preceding the claim, or (b) USD $100.

14. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted or error-free. WhatsApp message delivery rates depend on third-party infrastructure and cannot be guaranteed.

15. Termination

By you: Cancel anytime via the dashboard or by emailing infos15@chidos.tech. Termination takes effect at the end of the billing period.

By us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or use the Service for illegal activities. After termination, data is retained for 30 days for export, then permanently deleted.

16. Governing Law

These Terms are governed by applicable law. For EU customers, mandatory consumer protection laws of your country of residence apply. Disputes shall be resolved in competent courts of the jurisdiction where the Company is established, unless mandatory consumer laws provide otherwise. EU users may also contact their local Data Protection Authority.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or prominent in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. The current version is always available at https://marketing.chidos.tech/terms.
